By accessing, registering for, or using PostSmith ("the Service," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any provision of these Terms, you must immediately discontinue use of the Service and delete your account. These Terms constitute a legally binding agreement between you and PostSmith.
We reserve the right to modify, amend, or update these Terms at any time, with or without prior notice. Material changes will be communicated via email or through a prominent notice on the Service. Your continued use of PostSmith following the posting of revised Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically.
2.1 Age Requirement. You must be at least eighteen (18) years of age to use PostSmith. By creating an account, you represent and warrant that you are of legal age to form a binding contract. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2.2 Account Creation. You may register for PostSmith using Google OAuth authentication or such other methods as we may provide from time to time. You agree to provide accurate, current, and complete information during the registration process and to keep this information updated. PostSmith is not liable for any loss or damage arising from your failure to maintain accurate account information.
2.3 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including passwords and authentication tokens. You agree to notify us immediately of any unauthorized access to or use of your account. PostSmith will not be liable for any loss or damage arising from your failure to comply with this security obligation.
2.4 Account Sharing. Your account is personal to you. You may not share, transfer, sell, or sublicense your account to any third party. We reserve the right to suspend or terminate accounts that we reasonably believe are being shared in violation of this provision.
PostSmith is an artificial intelligence-powered content generation platform designed to assist users in transforming raw thoughts, ideas, and drafts into structured social media posts optimized for audience engagement. The Service includes, but is not limited to, the following features and functionalities:
PostSmith does not guarantee any specific level of engagement, reach, virality, or commercial success from content generated through the Service. All generated content should be reviewed, fact-checked, and approved by you before publication.
4.1 Plan Tiers. PostSmith offers multiple subscription tiers:
4.2 Pricing and Currency. All fees are denominated in United States Dollars (USD) unless otherwise specified. Prices are subject to change with thirty (30) days' advance notice. Any promotional pricing is valid only for the specified promotional period.
4.3 Payment Processing. Payments are processed through Flutterwave, a third-party payment processor. By subscribing to a paid plan, you authorize PostSmith and Flutterwave to charge your selected payment method for all applicable fees, including recurring subscription fees and any applicable taxes. You agree to comply with Flutterwave's terms of service and privacy policy.
4.4 Billing Cycle. Subscriptions may be billed monthly or annually, depending on your selected plan. Annual subscriptions are billed in advance for the full twelve-month period. Monthly subscriptions are billed in advance for each upcoming month.
4.5 Auto-Renewal. All paid subscriptions automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date. You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of the current billing cycle, and you will retain access to paid features until that date.
4.6 Refund Policy. All subscription fees are non-refundable except where required by applicable law. We do not provide prorated refunds for partial months or unused generations. If you believe you have been billed in error, you must contact us within fourteen (14) days of the billing date to dispute the charge.
4.7 Failed Payments. If a payment fails due to expired card, insufficient funds, or any other reason, we will attempt to retry the charge. If payment remains unsuccessful, your subscription may be suspended or downgraded to the Free tier until payment is successfully processed.
4.8 Team and Enterprise Access. PostSmith may grant complimentary or paid access to designated team members, administrators, or partners through email-based authorization lists managed in our environment configuration. Such access is subject to these Terms and may be revoked at any time at our sole discretion.
You agree to use PostSmith only for lawful purposes and in accordance with these Terms. You may not use the Service in any way that violates any applicable federal, state, local, or international law or regulation. Specifically, you agree not to:
PostSmith reserves the right, but not the obligation, to monitor content submitted to the Service and to investigate violations of these Terms. We may remove content, suspend accounts, or terminate access without prior notice if we determine, in our sole discretion, that a user has violated these acceptable use provisions.
6.1 PostSmith Intellectual Property. The Service, including all software, algorithms, user interfaces, graphics, logos, trademarks, service marks, trade dress, text, images, audio, video, data compilations, and all other content provided by PostSmith ("PostSmith Content"), is owned by or licensed to PostSmith and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes in accordance with these Terms. This license does not include any right to resell, redistribute, or create derivative works of the Service or PostSmith Content.
6.2 Your Content. You retain all ownership rights to the raw thoughts, drafts, ideas, and other original content you submit to PostSmith ("User Content"). By submitting User Content to the Service, you grant PostSmith a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content solely for the purposes of operating, improving, and promoting the Service, including training and fine-tuning our AI models.
6.3 Generated Content. All posts, rewrites, analyses, and other outputs generated by PostSmith's AI ("Generated Content") are provided to you on an "as-is" basis. Subject to your compliance with these Terms, PostSmith grants you a perpetual, worldwide, royalty-free, non-exclusive license to use, modify, publish, and distribute Generated Content for any lawful purpose, including commercial use. You acknowledge that Generated Content may be similar to outputs provided to other users, and PostSmith does not guarantee the uniqueness of any Generated Content.
6.4 Viral Lab Submissions. By submitting high-performing posts to the Viral Lab, you represent that you have the right to share such content and you grant PostSmith the right to analyze, anonymize, aggregate, and incorporate insights derived from such submissions into our community datasets, engagement driver library, and AI training data. If a submission leads to the discovery of a new engagement driver, you acknowledge that such driver may be added to the global library and made available to other users.
6.5 Feedback. If you provide PostSmith with any feedback, suggestions, ideas, or feature requests ("Feedback"), you grant PostSmith an unlimited, irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without compensation or attribution to you.
PostSmith utilizes third-party artificial intelligence models and APIs, including but not limited to services provided by Groq, OpenAI, DeepSeek, and Google (Gemini), to generate content. You acknowledge and agree that:
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using PostSmith, you consent to the collection, processing, and transfer of your data as described in the Privacy Policy.
We implement industry-standard security measures to protect your data, including encryption in transit and at rest, secure database configurations, and access controls. However, no method of electronic transmission or storage is one hundred percent secure. While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.
If you are located in the European Economic Area (EEA), United Kingdom, or other jurisdictions with data protection laws, you may have additional rights regarding your personal data, including the right to access, correct, delete, or restrict processing of your data. To exercise these rights, please contact us using the information provided in Section 21.
PostSmith integrates with and relies upon various third-party services and APIs to provide its functionality, including but not limited to:
Your use of these third-party services is subject to their respective terms of service and privacy policies. PostSmith is not responsible for the availability, accuracy, content, or practices of these third-party services. We do not endorse, warrant, or guarantee any products or services offered by third parties.
PostSmith imposes usage limits based on your subscription tier to ensure service quality and availability for all users. These limits include, but are not limited to, monthly generation quotas, Viral Lab submission quotas, history retention periods, and API rate limits. We reserve the right to adjust these limits, introduce new limits, or temporarily throttle usage during periods of high demand or technical maintenance.
We monitor usage patterns to detect abuse, fraud, or attempts to circumvent limits. If we determine that your usage is excessive, abusive, or intended to exploit the Service, we may suspend your account, downgrade your tier, or terminate your access without refund.
11.1 Termination by You. You may terminate your account at any time by contacting us or using the account deletion feature if available. Upon termination, your access to paid features will cease at the end of your current billing cycle. We are not obligated to retain or provide you with copies of your content, history, or data after termination, though we may retain certain data as required by law or for legitimate business purposes.
11.2 Termination by PostSmith. We reserve the right to suspend or terminate your account, with or without notice, for any reason, including but not limited to: (a) violation of these Terms; (b) fraudulent or illegal activity; (c) non-payment of fees; (d) prolonged inactivity; (e) requests by law enforcement or government agencies; or (f) technical or security issues. Upon termination for cause, all licenses granted to you under these Terms will immediately cease, and you must discontinue all use of the Service.
11.3 Effect of Termination. Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. POSTSMITH DOES NOT WARRANT THAT:
No advice or information, whether oral or written, obtained from PostSmith or through the Service shall create any warranty not expressly stated in these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL POSTSMITH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:
IN NO EVENT SHALL POSTSMITH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO POSTSMITH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).
THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF WHETHER POSTSMITH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, POSTSMITH'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless PostSmith and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
PostSmith reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Lagos, Nigeria, and you hereby consent to the personal jurisdiction and venue of such courts.
If you are a consumer residing in the European Union, you may also bring claims in the courts of your country of residence. If you are a consumer residing in the United States, you may be subject to mandatory arbitration provisions as described in Section 16.
16.1 Informal Resolution. Before filing any claim or initiating any formal dispute resolution process, you agree to first contact PostSmith and attempt to resolve the dispute informally. Both parties agree to negotiate in good faith for a period of at least thirty (30) days.
16.2 Arbitration Agreement. Except for disputes relating to intellectual property rights or claims for injunctive relief, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the Lagos Court of Arbitration (LCA) in accordance with its Arbitration Rules. The arbitration shall be conducted in English, in Lagos, Nigeria, before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
16.3 Class Action Waiver. YOU AGREE THAT ANY PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS, OR OTHER CONSOLIDATED PROCEEDINGS.
16.4 Opt-Out. You may opt out of the arbitration agreement within thirty (30) days of first accepting these Terms by sending a written notice to our contact address in Section 21, clearly stating your intent to opt out of arbitration.
PostSmith shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications infrastructure, internet outages, or failures of third-party service providers.
18.1 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
18.2 Waiver. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure by PostSmith to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
18.3 Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. PostSmith may assign these Terms at any time without restriction.
18.4 Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PostSmith regarding the Service and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to United Nations, United States, European Union, or other applicable sanctions or embargoes. You agree to comply with all applicable export control laws and regulations. You may not use the Service if you are prohibited from receiving products, services, or software originating from Nigeria, the United States, or other applicable jurisdictions.
PostSmith may incorporate or rely upon open-source software, libraries, or components. Use of such components is subject to their respective open-source licenses. Nothing in these Terms restricts your rights under applicable open-source licenses. All third-party trademarks, service marks, logos, and trade names are the property of their respective owners.

Your use of Beta Features is at your sole risk, and we are not liable for any data loss, corruption, or other harm resulting from such use.
The Viral Lab is a collaborative feature that depends on the integrity of user submissions. When submitting posts for analysis, you agree to:
PostSmith reserves the right to remove submissions, nullify leaderboard entries, and suspend accounts found to be in violation of these community guidelines.
